This Omnibus Disclaimer, Legal Notice, and Absolute Covenant Not To Sue (“Notice”) forms a legally binding agreement between you and the Protected Parties (defined below).

By accessing this website, submitting information, purchasing items, attending events, or engaging in any business relation, you grant an unconditional, irrevocable release of all liability to the maximum extent permitted by global law.
1. Bulletproof Personal, Marital, and Familial Liability ShieldYou expressly agree that the individual founders, owners, creators, principals, shareholders, and directors of the Companies, alongside their spouses, domestic partners, marital communities, immediate and extended family members, blood relatives, heirs, lineage descendants, estate beneficiaries, and personal representatives (collectively, the “Protected Individuals”), shall have absolute, permanent, and zero liability of any kind.
Under no circumstances shall any claim, debt, lawsuit, or demand be brought against the personal assets, private property, bank accounts, real estate, or finances of the Protected Individuals. You explicitly waive, forfeit, and surrender any right to pierce the corporate veil or to hold any individual or family unit personally liable for corporate actions.
2. Universal Umbrella Coverage for All Entities and AssociationsThe protections, liability waivers, covenants, and indemnifications set forth in this Notice apply universally to protect: The Companies, their parent corporations, holding companies, sister companies, subsidiaries, and corporate affiliates. Any future corporate entities, joint ventures, or business operations created or acquired by the Protected Individuals. Every past, present, and future officer, director, member, manager, employee, supervisor, and intern. All independent contractors, field operators, security personnel, logistics crew, auctioneers, field agents, advisors, and legal representatives. Anyone acting by, through, under, or in cooperation with the Companies, the businesses, or the Protected Individuals.(All the above, including the Protected Individuals and all business structures, are collectively referred to as the “Released Parties”).
3. Absolute Covenant Not to Sue, Fees, and Total Liability WaiverYou expressly acknowledge that market conditions fluctuate and that the final gross revenue of any estate sale or liquidation event is subject to buyer demand. The final performance results do not alter, waive, or diminish your contractual financial obligations to the Companies.Furthermore, you acknowledge and agree that services may require upfront costs, booking fees, setup fees, and operational expenses. Because every estate is unique, individual client agreements are customized and written to reflect the specific requirements of each estate; however, the foundational terms and liability protections of this Notice remain fully applicable to all engagements. All agreed-upon commission percentages, minimum operational service splits, fees, and expenses remain fully collectible from gross proceeds, upfront deposits, or the estate account.
4. Total Indemnification and Hold Harmless ObligationYou agree to defend, indemnify, and hold completely harmless all Released Parties from and against any and all claims, lawsuits, liabilities, damages, losses, costs, demands, and expenses (including all legal fees, expert witness fees, and court costs) arising out of or related to:Your use of any website, digital platform, or bidding application.Your physical presence at any sale, auction, office, or staging location.Any third-party claims brought by your heirs, relatives, creditors, estate executors, or buyers relating to your interactions with the Companies.
5. No Professional, Legal, Tax, or Fiduciary AdviceThe Companies and Released Parties operate strictly as liquidation, logistics, and inventory experts. No text, verbal communication, or material provided constitutes legal, tax, accounting, financial, or investment advice. No fiduciary, advisory, or confidential relationship is formed. You must consult a licensed attorney for legal counsel.
6. Independent Corporate StructuresPeople’s Choice Estate Services, IronClad Safety Group, and Juzy Bids operate as separate legal structures. Engagement with one entity does not create joint liability, cross-collateralization, or corporate partnership with the other entities unless explicitly detailed in a separate signed contract.
7. Absolute "As-Is, Where-Is" DisclaimersAll sales, liquidations, and online auctions are conducted strictly on an "AS-IS, WHERE-IS" basis with all faults, visible or hidden. The Companies provide no warranties of merchantability, authenticity, or fitness for a particular purpose. Buyers bear 100% of the responsibility for due diligence. All sales are final.
8. Permanent Waiver of Jury Trial and Class Action ParticipationYou agree that any dispute that cannot be legally waived by this agreement must be resolved through binding arbitration or filed exclusively in the specific court venue where the acting business entity is registered. You permanently waive your right to a trial by jury and your right to participate as a plaintiff or class member in any class-action lawsuit against any Released Party in the past, present or future for any reason noted herein or any claims, acts, faults not noted herein.
9. Severability and Complete IntegrationIf any sentence, clause, or section of this Notice is held invalid or unenforceable by a court of law, that specific portion will be modified to the minimum extent necessary, and all other sections of this Notice will remain in full, absolute force and effect. This text represents the entire liability agreement regarding public interaction with the Companies.
